Telefónica Deutschland Holding AG today published the invitation to an extraordinary general shareholders' meeting on February 11, 2014 at 10.00am (CET) at Alte Kongresshalle, Theresienhöhe 15, 80339 Munich. The resolutions proposed under agenda item 1 and 2 serve the purpose of financing and implementing the acquisition of E Plus by Telefónica Deutschland Holding AG based on the agreement entered into with Koninklijke KPN N. V. on 23 July 2013. Agenda summary: 1. Resolution on the increase of the share capital against cash contribution with subscription rights for the shareholders as well as the related amendment of the Articles of Association. 2. Resolution on the authorization of the Management Board for a capital increase by contribution in kind with exclusion of subscription rights of the shareholders (Authorized Capital 2014/I) and related amendment of the Articles of Association. 3. Resolution on the cancellation of the authorization for the issuance of convertible bonds and other instruments of October 5, 2012 as well as the cancellation of the Conditional Capital 2012/I and creation of a new authorization for the issuance of convertible bonds and other instruments with authorization to exclude the subscription rights of the shareholders as well as the creation of a new Conditional Capital 2014/I along with related amendments of the Articles of Association.
